Certain acts relating to the incorporation of a company may be carried out after the signature of the articles of association and before the company’s registration with the RCS. For these acts to be carried out and subsequently taken over during the life of the company, the partners must have given a mandate to one or more of them, or to the non-associate manager, to undertake certain commitments on behalf of the company. The persons appointed will then act in place of the partners and in the name and on behalf of the company. The mandate may be provided for in the company’s articles of association or in a separate instrument.
