When a company is registered in the Trade and Companies Register, a statement of the acts performed by the founders in the name of the company being formed must be annexed to the articles of association. These are acts binding the founders before the signature of the statutes. They will therefore be attributable to the latter, unless the company, once registered, takes them back in its name by a deed of acquisition annexed to the articles of association.
