The co-legislators in the Community have been struggling for more than 30 years to harmonise company law in the European Union. Their ambitions were revised downwards after the failure of each negotiation. This was the case for the European company but also for the European Cooperative Society. Thus, many references to the rights of Member States are made. As a result, these European business groupings may be governed by different rules of law.
Nevertheless, despite the fact that legal systems can be improved with regard to the practical flexibility necessary for business, the creation of these new European groupings is an essential development for Community law. The latter are indeed an essential instrument in the process of completing the internal market. The first major European group to opt for the European Company Statute is the German insurer Allianz. This highly publicised announcement, in November 2005, will probably be the starting point for a greater enthusiasm for these new European structures.
