On 8 November 2005, the Commercial Division of the Cour de cassation (Court of Cassation's Commercial Division) made a major change in its case law, establishing the automatic transmission of the guarantee in the event of a merger-absorption of the beneficiary company. This decision, which has been awaited for many years by practitioners in the banking profession, should now simplify restructuring operations. Moreover, in a second judgment delivered on the same day, which was less noticeable but also very important, the Court ruled on the existence or enforceability of rent instalments in connection with a merger operation.
